Terms of Service
Short version: We build great products for our clients, we expect timely communication and payment in return, and ownership of final deliverables transfers to you once invoices are settled in full.
1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the Atomus Dev website, and any services, proposals, quotes, or agreements provided by Atomus Dev(“we”, “us”, “our”). By engaging our services, submitting the contact form, or otherwise using this website, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Our Services
Atomus Dev provides web development, mobile application development, UI/UX design, and cloud consultancy services. The specific scope, deliverables, timeline, and fees for any engagement are set out in a separate proposal, quote, or statement of work agreed with the client before work begins.
Where these Terms conflict with a signed proposal or statement of work, the specific agreement takes precedence for that engagement.
3. Client Responsibilities
To help us deliver on time and to spec, clients agree to:
- Provide timely feedback, content, and approvals at agreed milestones
- Supply accurate information required to complete the project
- Provide access credentials to any third-party systems needed (hosting, domains, APIs) where applicable
- Respond to review requests within a reasonable timeframe, as delays on the client's side may extend project timelines
4. Payment Terms
Unless otherwise agreed in writing, projects require a deposit before work begins, with the remaining balance payable per the milestones or schedule outlined in the project proposal. Invoices are due within the timeframe stated on the invoice.
All fees are exclusive of applicable taxes unless stated otherwise. Third-party costs (domains, hosting, licenses, paid plugins, app store fees) are billed separately unless explicitly included in the proposal.
5. Revisions & Change Requests
Each engagement includes a reasonable number of revision rounds as agreed in the proposal. Requests that fall outside the original agreed scope (“scope creep”) will be quoted separately and may affect the project timeline.
6. Intellectual Property
Upon full and final payment, ownership of the custom deliverables created specifically for the client (final designs, source code written for the project) transfers to the client, except for the items below.
Atomus Dev retains ownership of:
- Pre-existing tools, frameworks, libraries, and internal code snippets used to deliver the project
- General know-how, methods, and processes developed independently of the engagement
- The right to display completed work in our portfolio, case studies, and marketing materials, unless the client requests confidentiality in writing
Third-party assets (stock imagery, fonts, plugins, open-source libraries) remain subject to their own respective licenses.
7. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information shared during the engagement, and to use it only for the purposes of delivering or receiving the agreed services.
8. Warranties & Support
We warrant that deliverables will be built to a professional standard and function as described in the agreed scope. Unless a separate maintenance or support agreement is in place, we provide a limited bug-fix window (as specified in the proposal) after final delivery, covering defects in work we delivered not changes to requirements, third-party service outages, or issues introduced by changes made outside Atomus Dev.
9. Limitation of Liability
To the maximum extent permitted by law, Atomus Dev shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or business opportunity, arising from the use of our services or deliverables. Our total liability for any claim arising from an engagement is limited to the fees paid by the client for that specific engagement.
10. Termination
Either party may terminate an engagement with written notice as specified in the project proposal. Upon termination, the client is responsible for payment of all work completed up to the termination date. Deposits are generally non-refundable once work has commenced, unless otherwise agreed.
11. Third-Party Services
Projects may rely on third-party services such as hosting providers, cloud infrastructure (e.g. AWS), domain registrars, or APIs. Atomus Dev is not responsible for outages, pricing changes, or policy changes made by these third-party providers.
12. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of South Africa.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated “Last updated” date at the top of this page. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
